Terms of Service

These Terms govern your use of Simple Invoice, the invoicing service operated by FBA Terminal LLC ("we," "us"). Please read them carefully. By using Simple Invoice, you agree to be bound by them.

1. Agreement to Terms

By creating an account, accessing, or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

You must be at least 18 years old, or the age of legal majority where you live. By using the Service you represent that you meet that requirement and that you have the authority to enter into these Terms on behalf of yourself or the business you represent.

2. The Service

Simple Invoice is web and mobile software that lets you create, send, and track invoices and estimates, manage clients and items, accept payments through your own connected payment processors, and export PDFs of your documents.

We may change, add, suspend, or discontinue parts of the Service. We'll give reasonable notice when changes materially affect paid features.

3. Your Account

You're responsible for keeping your sign-in credentials safe and for everything that happens under your account. Tell us right away if you suspect unauthorized use.

You agree that the information you give us (name, email, business details, billing data) is accurate and that you'll keep it current.

4. Plans, Trials, and Payment

We offer a Free tier and a paid Pro tier. Pro starts with a 3-day free trial that requires a valid payment method on file.

At the end of the trial the Pro subscription begins automatically and you'll be charged the published rate, unless you cancel before the trial ends. You can cancel any time from inside the app; cancellation takes effect at the end of the current billing cycle and you keep access until then.

Fees are non-refundable except where required by law. We may change pricing on prospective billing cycles with at least 30 days' notice.

5. How payments to you work

Simple Invoice does not handle, hold, or process the money your clients pay you. To accept payments, you connect your own Stripe account through our integration. Stripe is separately responsible for processing those payments under its own agreement with you.

Stripe's fees, payouts, refunds, chargebacks, and disputes are governed by your relationship with Stripe, not by us. We don't take a cut of what your clients pay you.

We pass payment status (paid, refunded, disputed) into your Simple Invoice account via webhooks; we never see card numbers or bank credentials.

6. Your Content

You retain ownership of the invoices, estimates, client records, items, files, and other content you create through the Service ("Your Content").

You grant us a worldwide, non-exclusive, royalty-free license to host, transmit, display, and process Your Content solely as necessary to operate, secure, and improve the Service.

You're responsible for Your Content, including ensuring you have the rights to upload it, that it's accurate, and that it complies with the law.

7. Acceptable Use

You may not use the Service to:

  • send unsolicited bulk email or otherwise violate anti-spam laws;
  • send content that is illegal, fraudulent, deceptive, or that infringes someone else's rights;
  • attempt to break, probe, scan, or interfere with the Service or its security;
  • reverse engineer, scrape, or use the Service to build a competing product;
  • resell or sublicense the Service to third parties without our written permission.

We may suspend or terminate accounts that breach these rules.

8. Intellectual Property

The Service (including its software, design, brand, and templates) is owned by FBA Terminal LLC and protected by copyright, trademark, and other laws. We grant you a limited, revocable license to use the Service for your own business purposes during your subscription.

"Simple Invoice" and the Simple Invoice logo are our marks. You may use them factually to describe that you use the Service; you may not use them in a way that implies endorsement without permission.

9. Termination

You can close your account at any time from inside the app or by emailing support [at] getsimpleinvoice [dot] com.

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that creates legal or security risk.

On termination, your right to use the Service ends. We'll keep some data as needed for legal, tax, accounting, and dispute purposes; the rest is deleted on a reasonable schedule.

10. Disclaimers

The Service is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

Simple Invoice is not a tax, accounting, or legal advisor. Calculations and labels (tax rates, totals, due dates) are tools. You're responsible for the accuracy of what you send to your clients.

11. Limitation of Liability

To the maximum extent permitted by law, neither FBA Terminal LLC nor its affiliates are liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill.

Our total liability for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid us in the 12 months before the event giving rise to the claim, or (b) USD $100.

12. Indemnity

You agree to defend, indemnify, and hold FBA Terminal LLC and its affiliates harmless from any claims, damages, and expenses (including reasonable legal fees) arising out of Your Content, your breach of these Terms, or your misuse of the Service.

13. Governing Law and Disputes

These Terms are governed by the laws of the State of New Jersey and the federal laws of the United States, without regard to conflict-of-laws rules.

The state and federal courts located in Passaic County, New Jersey have exclusive jurisdiction over any dispute, except that consumer-protection rights granted by your local law are unaffected.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced in the app or by email at least 14 days before they take effect. Continued use of the Service after the effective date means you accept the updated Terms.
